1. Introduction

Welcome to API Direct. These Terms of Service ("Terms") govern your access to and use of the API Direct website, API services, and any related services (collectively, the "Service") operated by API Direct ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials and API keys
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorised use of your account

4. API Keys and Access

Upon registration, you may generate API keys to access our Service. You are responsible for:

  • Keeping your API keys confidential and secure
  • All API requests made using your API keys
  • Any charges incurred through the use of your API keys

You may create up to 10 API keys per account. We reserve the right to revoke API keys that are misused or that violate these Terms.

5. Pricing and Payment

API Direct operates on a pay-per-request pricing model:

  • Free Tier: You receive 50 free requests per endpoint per calendar month
  • Paid Usage: After exceeding the free tier, you will be charged per request at the rates displayed on our website
  • Billing: Charges are accumulated and billed through Stripe based on your trust level and spending thresholds
  • Payment Methods: We accept payment via credit and debit cards processed through Stripe

Prices are displayed in US Dollars (USD) and are exclusive of any applicable taxes. You are responsible for any taxes associated with your use of the Service.

6. Spending Limits

You may set optional daily and monthly spending limits through your dashboard. Once a limit is reached, API requests will be blocked until the next applicable period. Spending limits are a convenience feature and do not guarantee protection against all charges.

7. Refunds

Due to the nature of our pay-per-request service, all charges for successfully completed API requests are final and non-refundable. If you believe you have been incorrectly charged, please contact us at support@apidirect.io within 30 days of the charge.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Infringe upon intellectual property rights of others
  • Engage in any activity that could damage, disable, or impair the Service
  • Attempt to gain unauthorised access to any part of the Service
  • Use the Service for any illegal, harmful, or fraudulent purposes
  • Resell, redistribute, or sublicense access to the Service without our written consent
  • Circumvent or attempt to circumvent any rate limits, usage limits, or security measures
  • Use automated means to create accounts or generate API keys
  • Harass, abuse, or harm individuals using data obtained through the Service
  • Engage in competitive data collection or scraping of our Service

9. Rate Limits

The Service is subject to rate limits, including but not limited to 1,000 requests per hour per IP address and a maximum of 3 concurrent requests per endpoint per user. We reserve the right to modify these limits at any time. If you require higher limits, please contact us.

10. Data and Content

The Service provides access to publicly available social media and forum data. You acknowledge that:

  • Data is sourced from third-party platforms and we do not control the accuracy or availability of such data
  • You are responsible for complying with the terms of service of the underlying platforms (LinkedIn, Twitter/X, Reddit, YouTube, Instagram, etc.) when using data obtained through our Service
  • We do not guarantee the completeness, accuracy, or timeliness of any data provided
  • Data availability may change without notice due to changes in third-party platform policies

11. Intellectual Property

The Service, including its original content, features, and functionality, is owned by API Direct and is protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any data or content you submit to the Service. By using the Service, you grant us a limited licence to process your API requests as necessary to provide the Service.

12. Service Availability

While we strive to maintain high availability (historically 99.9% uptime), we do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for maintenance, updates, or due to circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance where possible.

13. Account Suspension and Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, including but not limited to:

  • Violation of these Terms
  • Non-payment or failed payment
  • Suspected fraudulent or illegal activity
  • At your request

You may terminate your account at any time through your dashboard settings. Upon termination, your right to use the Service will immediately cease, and any outstanding charges will become due.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR COMPLETE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL API DIRECT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless API Direct and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in London, England, in the English language.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

19. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

20. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and API Direct regarding your use of the Service and supersede all prior agreements and understandings.
